1. Introduction
These Terms & Conditions (“Agreement”) govern your (“Customer”, “you”, “your”) use of the services provided by Washington Christmas Lighting (“Company”, “we”, “us”, “our”). By executing a Service Agreement, submitting an order, permitting us to perform work, or otherwise engaging our services, you agree to be bound by this Agreement. If you do not agree, you may not engage our services.
2. Services
2.1 We provide decorative lighting design, installation, maintenance, removal, and related outdoor lighting services for residential and commercial properties.
2.2 The specific scope of services, deliverables, timing, pricing, and any special terms will be set forth in a separate written Service Agreement, work order, or quote signed or accepted by you.
2.3 Any additional or modified services beyond the signed scope must be confirmed in writing and may incur additional charges.
3. Customer Responsibilities
3.1 You must provide full, safe, and timely access to the property, power sources, permits (if required), and any required approvals (HOA, community, landlord).
3.2 You represent that you are the owner or authorized agent of the property, that installation is lawful, and that no hazardous conditions (including but not limited to unsafe wiring, unstable surfaces, unpermitted work, or interfering with utilities) exist or, if they exist, will be corrected before our work.
3.3 You agree to follow safety instructions and any usage or maintenance guidelines provided by us after installation.
3.4 You will notify us promptly if any damage or malfunction occurs.
4. Pricing, Payment & Cancellation
4.1 Pricing is set in your written quote or Service Agreement. Unless otherwise specified, payment is due upon completion of services and invoice issuance. We may require a deposit.
4.2 If services are scheduled but canceled by you within 48 hours of the scheduled start, you may be charged a cancellation fee equal.
4.3 Late payments may incur interest.
4.4 We reserve the right to suspend work, remove installed equipment, or withhold deliverables if payment is not received when due.
5. Changes to Services & Delays
5.1 We may revise work schedules due to weather, access issues, safety hazards, or supply chain delays. We will use commercially reasonable efforts to notify you of material changes.
5.2 If you request changes to the scope, you may incur additional charges and a revised schedule.
5.3 We are not liable for delays caused by conditions beyond our reasonable control.
6. Warranties & Disclaimers
6.1 We warrant that our installation services will be performed with reasonable care and workmanship consistent with industry standards.
6.2 Except as expressly provided above, all warranties are disclaimed, whether express or implied (including warranties of merchantability or fitness for a particular purpose).
6.3 We do not warrant that lighting will operate perfectly at all times, or that no outages, failures, or damage will occur.
6.4 You assume all risk for any loss, damage or injury caused by your failure to provide safe access, to disclose hazards, or to follow our instructions.
7. Limitation of Liability
7.1 To the maximum extent permitted by applicable law, our total liability to you for any claim arising out of or relating to this Agreement or services shall not exceed the amount of fees you paid us for the specific service giving rise to the claim.
7.2 We shall not be liable for special, incidental, consequential, punitive or exemplary damages (including lost profits, loss of use, loss of business, or third-party claims) even if advised of the possibility of such damages.
7.3 Some jurisdictions may not allow limitations on implied warranties or exclusion of certain damages; in such cases, our liability will be limited to the maximum extent permitted by law.
8. Intellectual Property
8.1 All content, materials, designs, photographs, software and trademarks used by us remain our property or the property of our licensors.
8.2 You may not reproduce, distribute, modify, create derivative works, publicly display or exploit any of our intellectual property without our prior written consent.
9. Permits, Codes & Compliance
9.1 Where required, you are responsible for obtaining or ensuring compliance with local permits, homeowners’ association approvals, utility regulations, and applicable building/electrical codes. We will assist if specified in your Service Agreement but such assistance does not relieve you of your responsibility.
9.2 You represent that the property and existing conditions comply or will be brought into compliance with applicable laws and codes. We reserve the right to refuse or suspend services if unsafe or non-compliant conditions exist.
10. Term and Termination
10.1 This Agreement remains in effect until completion of services unless terminated earlier as permitted herein.
10.2 Either party may terminate the Agreement upon prior written notice if the other party materially breaches any term.
10.3 We may terminate immediately, without notice, if you fail to pay, if unsafe or unlawful conditions are found, or if you otherwise refuse to comply with our requirements.
10.4 Upon termination, you remain responsible for payment of services performed up to termination date and any cancellation fees or removal costs specified.
11. Removal, Seasonal Services & Storage
11.1 If your contract includes seasonal services (installation, maintenance, removal) we will schedule removal at the end of the season. If you fail to give access or schedule removal, you may incur additional fees for re-service, storage, or removal at a future date.
11.2 Any stored equipment is stored at your risk from the time removal is completed until your next scheduled service; the Company is not responsible for damage, theft or deterioration while in storage unless explicitly stated in writing.
12. Safety & Insurance
12.1 We maintain general liability insurance. However, our insurance does not cover losses caused by pre-existing conditions at your site, or by your failure to comply with post-installation care instructions.
12.2 You shall maintain homeowners or property liability insurance that covers all lighting installations and activities.
12.3 You agree to promptly report any damage, malfunction, or injury resulting from the services.
13. Force Majeure
Neither party shall be liable for failure or delay in performing obligations (excluding payment) due to causes beyond its reasonable control, including but not limited to acts of God, storms, fire, floods, strikes, supply shortages, or governmental actions. In such cases, performance is excused or extended by the duration of the event.
14. Amendments
We may revise these Terms & Conditions at any time by posting a revised version on our website and/or by sending you notice. The revised terms become effective on the “Effective Date” listed at the top of the document. Your continued use of our services after that date shall constitute acceptance of the changes.
You should review these terms periodically.
15. Governing Law & Dispute Resolution
15.1 This Agreement is governed by the laws of the State of Washington, without giving effect to its conflict of laws principles.
15.2 All disputes arising from or relating to this Agreement shall first attempt to be resolved by good faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in King County, Washington, pursuant to the rules of the American Arbitration Association, or an equivalent arbitration body.
15.3 The prevailing party shall be entitled to recover reasonable attorneys’ fees and costs.
16. Severability & Waiver
If any provision of this Agreement is held invalid or unenforceable under applicable law, the remainder of the Agreement shall remain in full force and effect. The failure of either party to exercise any right shall not constitute a waiver of that right unless in writing.
17. Entire Agreement
This Agreement, together with the Service Agreement or Quote and any attachments, constitutes the entire agreement between you and the Company regarding the subject matter herein and supersedes all prior agreements, representations or communications.
